Terms of Service
Effective November 3, 2026
These terms are an agreement between Counterclear ("we") and the company you use Counterclear for ("you"). By creating an account or running a check you agree to them on that company's behalf.
1. What Counterclear does, and doesn't do
Counterclear checks a permit package for completeness before you submit it: whether the documents a jurisdiction's published checklist requires for your scope are present, whether file names follow a published naming standard, and whether key values (square footage, job value, folio number) agree across your documents.
It is not a plan review. It does not review drawings for building-code, zoning, fire, flood, or engineering compliance; it does not replace an architect, engineer, permit expediter, or the jurisdiction's own reviewers; and it does not guarantee that a permit will be accepted or approved. Jurisdictions change their requirements, and a finding (or the absence of one) can be wrong. Confirm requirements with the jurisdiction before you submit.
2. Your account
Accounts are by invitation. Keep your password private, and tell us right away at hello@counterclear.com if you think someone else has used your account. Company owners decide who on their team has access and are responsible for those people's use.
3. Your documents
You keep all rights to what you upload. Uploaded files are processed to produce the check and then deleted; we keep only the file names and sizes, the values you type in, and the findings. You give us permission to process your documents for that purpose only. Don't upload anything you don't have the right to share with us.
4. Acceptable use
Don't try to break, overload, or get around the security of the service; don't access other customers' data; don't resell access or use the service to build a competing product; and don't use it for anything unlawful.
5. Plans and payment
Pilots are free for the period we agree. Per-package credits are charged when bought, are used one per new package, and re-checks of the same package are free. Unlimited is billed monthly in advance until you cancel; cancelling stops the next renewal and access continues to the end of the paid month. Payments are processed by Stripe. Prices are in US dollars and exclude applicable taxes. Unused credits aren't refundable except where the law requires, but if something went wrong, email us and we'll make it right.
6. Availability and changes
We work to keep Counterclear available but don't promise it will be uninterrupted or error-free. We may change features, coverage, or these terms; we'll tell account owners by email before a material change takes effect, and continuing to use the service afterwards means you accept the change.
7. Ending the agreement
You can stop using Counterclear at any time and ask us to delete your company's data. We may suspend or close an account that breaks these terms or doesn't pay. Sections 1, 3, 8 and 9 survive the end of the agreement.
8. Disclaimer and limit of liability
Counterclear is provided "as is". To the fullest extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose, and we are not liable for indirect, incidental or consequential losses, including permit delays, rejections, re-submittal costs, or lost profits. Our total liability for any claim is limited to what you paid us in the 12 months before the claim.
9. Law
These terms are governed by the laws of the State of Florida. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
